Nintendo Establishes Nomination Advisory Committee

Nintendo has established a Nomination Advisory Committee that will advise the Board of Directors.

The committee will consist of the President and all directors of the Audit and Supervisory Committee. The committee will help to increase objectivity and transparency to the nomination and compensation of all directors.

Nintendo Co., Ltd. announces that it resolved at the meeting of the Board of Directors held on January 30, 2020 to establish a Nomination Advisory Committee to serve as an advisory body to the Board of Directors, as follows.

1. Purpose for Establishing the Committee

We aim to further enhance our corporate governance system by increasing objectivity and transparency to the nomination and compensation process of directors,through establishment of a Nomination Advisory Committee. Outside Directors will constitute the principal membership of the Nomination Advisory Committee.

2.Role of the Committee

In response to inquiries from the Board of Directors, the Committee will deliberate on matters related to the nomination and compensation of directors, and report to the Board.

3. Committee Membership

The Committee will be composed of the Representative Director and President and all Directors serving on the Audit and Supervisory Committee. The composition at the time of the Committee’s establishment will include 5 members,with 3 serving as Independent Outside Directors. The Committee Chairperson will be decided by Committee resolution from among the Outside Directors.
